These Terms of Use (“Terms”) govern your access to and use of the ORZEQ mobile application, website, and related services (together, the “Service”), provided by ORZEQ LLC(“ORZEQ,” “we,” “us”). Please read them carefully.
ORZEQ is currently offered as an early-access beta. By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By creating an account, joining Early Access, or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.
2. Eligibility
The Service is intended for use by adults (at least 18 years old) in their professional capacity. It is not intended for children. By using the Service, you represent that you meet these requirements.
3. Account Responsibilities
Account creation and sign-in are handled through our authentication provider. You are responsible for maintaining the confidentiality of your login credentials and for activity that occurs under your account. Notify us promptly if you believe your account has been used without your authorization.
4. Description of the Service
ORZEQ is a relationship-intelligence product for professional field representatives. It lets you record and log interactions, transcribes voice recordings you choose to make, and uses AI to generate summaries and relationship intelligence from the information you provide. Features may vary and change, particularly during Early Access.
5. Beta / Early Access Status
The Service is provided on a beta / Early Access basis while it is still in active development. You acknowledge and agree that:
- features may change, and functionality may be added, modified, suspended, or removed at any time;
- the Service may contain bugs or errors, and availability is not guaranteed;
- you should not rely on the Service as the sole repository for mission-critical information, and you should keep your own copies of information that is important to you;
- Early Access participation may be limited, suspended, or revoked;
- complimentary access during Early Access does not entitle you to future access on the same terms or at any particular price.
6. User Content and Customer Data
As between you and ORZEQ, you retain ownership of the information and content you submit to the Service, including the customer and interaction information you enter and the voice recordings you make (“User Content”). We do not claim ownership of the customer histories you build.
You grant ORZEQ a limited, non-exclusive license to host, store, transmit, process, analyze, and transform your User Content solely as necessary to operate, provide, secure, and improve the Service and to deliver the functionality you request (for example, producing transcripts and AI intelligence). This license ends when your User Content is deleted, except to the extent it has already been shared with service providers to provide the Service or must be retained to comply with law.
7. Professional and Sensitive Information
ORZEQ is designed for professional relationship management. You are responsible for ensuring you have the authority and any necessary permissions to enter the information you submit, and for complying with the laws and obligations that apply to you and to that information.
You are responsible for determining whether your employer, organization, or applicable professional rules permit your use of ORZEQ, and for obtaining any approvals your employer or organization requires. ORZEQ does not authorize you to violate employer policies, confidentiality obligations, contractual restrictions, professional obligations, or applicable law, and you remain responsible for any consequences arising from unauthorized use.
ORZEQ has not been established or certified for any specific regulated data category. You should not submit specially regulated or highly sensitive information (for example, information subject to specific healthcare, financial, or similar regulatory regimes) unless ORZEQ has expressly confirmed in writing that it supports that category of information. ORZEQ is not represented as approved for regulated health data.
You are also responsible for not submitting information you are not authorized to disclose, or that is inappropriate for a customer-relationship product. In particular, do not submit:
- employer trade secrets or confidential employer information;
- customer or third-party information you are restricted from disclosing;
- passwords, authentication credentials, or security codes;
- government-issued identifiers (such as Social Security or other national ID numbers);
- full financial-account numbers or full payment-card numbers;
- other highly sensitive identifiers, or any information you do not have the right or authorization to provide.
ORZEQ is designed for customer and business relationship information, not patient records. Please do not enter patient-specific health information (including protected health information), and do not use ORZEQ as a system of record for patient data. ORZEQ does not claim to be HIPAA compliant and makes no determination about its status as a “business associate.”
8. Acceptable Use
You agree not to:
- use the Service for any unlawful purpose or in violation of others’ rights;
- upload or submit information you do not have the right to provide;
- attempt to gain unauthorized access to the Service, other accounts, or our systems;
- interfere with, disrupt, or place an undue burden on the Service or its infrastructure;
- reverse engineer or attempt to derive source code except to the extent this restriction is prohibited by law;
- use the Service to build a competing product, or to send malicious, automated, or abusive traffic.
Regulated and professional decisions. ORZEQ provides relationship and workflow assistance; it is not a decision engine for regulated or consequential decisions about people. You agree not to use the Service or its AI output to:
- make clinical, diagnosis, treatment, or prescribing decisions, or to create off-label or other unlawful promotional communications;
- make credit, lending, underwriting, or insurance eligibility or pricing decisions;
- make housing eligibility or tenant-screening decisions, or to steer people based on protected characteristics;
- make employment decisions such as hiring, firing, or promotion;
- make any decision about a person based on a legally protected or sensitive characteristic, or a proxy for one; or
- otherwise substitute the Service for licensed, professional, or regulatory judgment, or violate your professional, employer, or regulatory obligations.
9. AI Features and Limitations
The Service uses AI to generate transcripts, summaries, suggestions, and other outputs from the material you provide. You acknowledge that:
- AI-generated output is probabilistic and may be wrong, incomplete, or inappropriate;
- you are responsible for reviewing AI output before relying on or acting on it;
- AI suggestions are not professional advice and are not guaranteed to be accurate;
- generated summaries and intelligence are derived from your user-provided and source material and may contain errors;
- the Service does not act on AI suggestions on your behalf — a suggested Next Action becomes a stored item only when you approve it.
10. Professional Judgment
The Service is a tool to help you organize information; it is not a substitute for your own professional judgment. You remain solely responsible for your decisions and actions, and for complying with the professional and regulatory obligations that apply to you. ORZEQ does not provide medical, clinical, prescribing, legal, financial, credit or underwriting, insurance, housing, employment, or other regulated professional advice or decisions.
11. Intellectual Property
The Service, including its software, design, and the ORZEQ name and brand, is owned by ORZEQ and its licensors and is protected by intellectual-property laws. These Terms do not grant you any right to our trademarks or branding. Your User Content remains yours, as described in User Content and Customer Data.
12. Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use them without restriction or obligation to you. Providing feedback does not give us any rights to your underlying business or customer data.
13. Third-Party Services
The Service relies on third-party providers for functions such as authentication, AI processing, storage, and hosting. Your use of the Service may be subject to those providers’ terms, and we are not responsible for the acts, omissions, or availability of third-party services outside our control.
14. Service Availability and Changes
We may modify, suspend, or discontinue any part of the Service at any time, particularly during Early Access. We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free.
15. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, if we discontinue the Service, or as otherwise reasonably necessary. Provisions that by their nature should survive termination will survive.
16. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or that AI output will be accurate or reliable. The Service is not intended to provide medical, legal, or other regulated advice.
17. Limitation of Liability
To the maximum extent permitted by law, ORZEQ and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or relating to your use of the Service. To the maximum extent permitted by law, our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim or one hundred U.S. dollars (US$100). Because the Service is currently provided at no charge during Early Access, you acknowledge that this limitation is a material part of the agreement.
18. Indemnification
To the extent permitted by law, you agree to indemnify and hold ORZEQ harmless from claims, losses, and expenses arising out of your misuse of the Service, your violation of these Terms (including the authorization and data-submission requirements in these Terms), or your submission of information you did not have the right to provide.
19. Subscriptions and Billing
ORZEQ Core is offered as an auto-renewable subscription purchased through the Apple App Store. The following terms apply if you purchase a paid subscription.
- ORZEQ Core is offered through auto-renewable subscriptions. Available billing periods may include monthly and annual options.
- The price shown to you at the time of purchase is the applicable price for your App Store region, as displayed by Apple. Prices are set and localized through the App Store.
- Eligible users may receive an introductory offer, such as a free trial. Whether you are eligible for an introductory offer is determined by Apple, and not every user will qualify.
- Payment is charged to your Apple ID account through the App Store when you confirm your purchase. Subscriptions renew automatically for the same period unless you cancel at least 24 hours before the end of the current period.
- You can manage or cancel your subscription at any time through your Apple subscription settings (on iOS: Settings → your Apple ID → Subscriptions). Canceling stops future renewals; it generally does not retroactively remove access you have already paid for during the current period.
- ORZEQ does not independently control Apple’s billing, renewal, or refund processing. Refund requests are governed by Apple’s applicable policies and processes.
- Your subscription and your ORZEQ account are separate. If your subscription expires, your ORZEQ account and the information in it are not deleted; your account continues in a limited, read-only state, subject to our Privacy Policy and retention practices.
- Deleting your ORZEQ account and canceling your Apple subscription are separate actions. Deleting your ORZEQ account does not automatically cancel an Apple subscription, and canceling your subscription does not delete your ORZEQ account. If you have an active Apple subscription, manage or cancel it through Apple.
These subscription terms supplement the rest of these Terms and our Privacy Policy. To the extent Apple’s applicable App Store terms govern the purchase itself, those terms also apply to your transaction with Apple.
20. Governing Law
These Terms are governed by the laws of the United States and the state in which ORZEQ LLC is organized, without regard to conflict-of-laws principles. The specific governing jurisdiction and venue will be confirmed by ORZEQ LLC. Nothing in this section limits any mandatory consumer protections available to you under the laws of your place of residence.
21. Changes to These Terms
We may update these Terms as the Service evolves. When we do, we will revise the “Last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
